These Terms of Use shall be governed by, construed, and enforced in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions. Specifically, these Terms are subject to:

- The Consumer Protection Act B.E. 2522 (1979) and its amendments
- Any other applicable Thai laws and regulations
You irrevocably agree that the courts of Thailand, specifically the courts of competent jurisdiction in Bangkok, shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or your use of the Website, and you submit to the personal jurisdiction of such courts.
12. Dispute Resolution
In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Website, or our services, the parties agree to first attempt to resolve the dispute amicably through good-faith negotiations. Either party may initiate this process by providing written notice to the other party describing the nature of the dispute and the resolution sought.
If the dispute is not resolved through negotiation within thirty (30) calendar days of the initial written notice (or such longer period as mutually agreed in writing), either party may escalate the dispute through the following mechanism:
- Mediation: The parties may voluntarily submit the dispute to mediation administered by the Thailand Arbitration Center (THAC) or another mutually agreed mediation service, in accordance with applicable Thai mediation rules.
- Litigation: If mediation fails or is not pursued, the dispute shall be referred to and finally resolved by the competent courts of Thailand in Bangkok, whose decisions shall be final and binding on the parties.
Notwithstanding the above, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of any dispute.
13. Modification of Terms
The Company reserves the right to amend, update, or modify these Terms at any time at its sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide additional notice (such as an in-Website notification or email to registered users).
Your continued use of the Website or services after any modifications to these Terms constitutes your acceptance of the revised Terms. If you do not agree with any changes, you must immediately cease using the Website and services and, if applicable, delete your account.
We recommend that you bookmark this page and check it periodically for any changes that may affect your rights and obligations.

You may terminate your use of the Website at any time by discontinuing access and, if applicable, by deleting your registered account. Upon termination, your right to use the Website and services shall immediately cease.
All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property rights, disclaimers of warranties, limitations of liability, indemnification obligations, governing law, and dispute resolution provisions.
15. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable under applicable Thai law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect and shall not be affected or impaired by the invalidity or unenforceability of any individual provision.
The parties agree that any invalid provision shall be replaced by a valid provision that, to the greatest extent possible, achieves the same economic and legal effect as the replaced provision.
16. Entire Agreement
These Terms of Use, together with our Privacy Policy and any other legal notices or policies published by the Company on the Website, constitute the entire agreement between you and SERRA ROOFING CORP with respect to your use of the Website and services, and supersede all prior and contemporaneous agreements, representations, warranties, understandings, negotiations, and discussions, whether oral or written, between the parties relating to the subject matter herein.
No failure or delay by the Company in exercising any right, power, or privilege under these Terms shall operate as a waiver of such right, power, or privilege. A waiver of any provision of these Terms shall not be effective unless made in writing and signed by an authorised representative of the Company.
